S&T acquires the leading SAP specialist EFP

Move will strengthen the position of services in S&T’s solutions portfolio

June 22, 2005. Vienna – CEE. S&T System Integration & Technology Distribution AG acquires a majority stake in the EFP Group and has submitted an offer for the remaining shares.

EFP is an SAP implementation and process consulting specialist with a clear-cut focus on manufacturing and processing industries, utilities and public administration, and operates nine offices in Central and Eastern Europe. The sites in Vienna (A), Frankfurt (D), Wil (CH), Bern (CH),Bratislava (SK), Zilina (SK), Olomouc (CZ), Prague (CZ) and Krakow (PL) will immediately reinforce S&T’s strategic expansion plans in the field of consulting and solutions.

With a workforce of about 200, the EFP Group is active in six countries and projects sales of EUR 20 million in 2005. With this acquisition of a 61% stake in EFP Holding AG S&T will further build on its market position as the leading ERP provider in Central and Eastern Europe.

This transaction represents a key strategic move for S&T AG, as it will allow the company to further strengthen its presence on these markets. As Christian Rosner, COO at S&T explained, “By acquiring the profitable company EFP, we gain broad-based SAP expertise together with highly valuable Western European industrial and process know-how.” As Andreas Frech, CEO of the EFP Group, noted, “S&T is an ideal partner for the future development of the EFP Group and
for expanding business with international customers.”

The parties have agreed to maintain confidentiality regarding the purchase price. The transaction will also have to be approved by the cartel authorities.
