S&T Acquires T-Systems DSS

20 January 2005. Vienna. S&T System Integration & Technology Distribution AG to acquire all shares in T-Systems DSS GmbH & Co KG in Vienna, a wholly owned subsidiary of T-Systems Austria GesmbH, retroactively as per 1.1.2005

T-Systems DSS specialises in data processing services and enterprise infrastructure and S&T expects the company to generate sales of approximately EUR 80 million in the 2005 financial year. T-Systems DSS GmbH & Co KG employs 150 workers at locations in Vienna, Upper Austria, Styria, Salzburg and Tyrol and at service bases in Carinthia and Vorarlberg. The takeover means that S&T will immediately be represented throughout Austria.

As a result of this acquisition, which will provide an ideal addition to S&T's existing system integration business and also offer a solid basis for subsequent growth, S&T will significantly expand its presence in the computer services sector in Austria and in Central and Eastern Europe.

As T-Systems DSS's experienced team of managers will remain in their current positions business will continue to develop smoothly with no disruption to customer and supplier relationships. The two companies have agreed not to release any information about the price of the acquisition. S&T will not increase its share capital in order to finance the transaction.

The deal is subject to the approval of the cartel authority.
